1. General

These general terms of use for online services apply to all online services of Semma Oy and the use of the contents and materials available through the online services, unless otherwise agreed or notified. In these terms of use, online services refer to all web or mobile services maintained or produced by Semma. These include, for example, Semma´s various websites and mobile applications. Hereinafter all services are referred to as the “Service”.

In addition to these general terms of use for online services, special terms may be applied to the use of the Service. These include, for example, campaign rules or contract terms and conditions and delivery terms. To the extent that there is a conflict between these general terms of use and any special terms for the Service, the special terms shall govern.

By registering to use the Service and/or using the Service, the user accepts and commits to comply with these terms of use, any special Service terms and other guidelines. Use of the Service is subject to acceptance of all terms or guidelines. The user of the Service must also comply with applicable laws and accepted principles of morality.

2. Users' Rights

Semma grants the user a limited right to use the Service and its contents. Limited right refers to the rights defined in these terms of use, other terms and conditions and guidelines. The right to use is personal, and if the user does not comply with all applicable terms, laws and accepted principles of morality, Semma has the right to deny the use of the Service. The use of Service is only permitted for personal, non-commercial use, unless otherwise specified in the terms and conditions.

The user can browse the Service and its contents, such as text, images, trademarks and symbols, print or save a copy of the Service contents on their personal computers and mobile data terminals and use the services provided in the Service by Semma . The user is not allowed to modify or copy the contents of the Service in any way or to distribute, transfer, publicly display or publish as such or any part or parts thereof, unless permitted by these terms of use, the Service itself or the related special terms. Permissions granted in the Service can include, for example, social media buttons that enable sharing of the content in social media. The users must retain all copyright and other proprietary notices contained in the downloaded or printed copies of the contents.

3. User Responsibilities

Users do not have the right to use the Service contrary to applicable laws and accepted principles of morality. Users are not allowed:

  • to disrupt or attempt to disrupt the operation of the Service
  • to impede or interfere with the use of the Service by others by uploading material or programs to the Service that contain parts that can interfere with its structure, such as viruses or timed malicious software
  • to collect, copy, use or record the personal data of other users without their permission
  • to attempt to conceal the origin of the information obtained from the Service by using incorrect titles or identifying information, for example
  • to use the Service to send spam or other unsolicited communications
  •  to provide false information about oneself or other persons or communities
  • to present themselves as a representative of Semma
  • to publish or transmit material that violates the rights of other persons or communities or is degrading, unlawful, obscene or otherwise offensive.

4. Content Created by Users

Users are only allowed to submit content that does not contain any material that is illegal, contrary to accepted principles of morality, inappropriate, offensive, degrading or obscene to the Service. Contents submitted by users may not infringe the rights of other persons or entities. Users are not allowed to advertise third party products or services without the express prior written consent of Semma.

Users are only allowed to submit content they either own themselves or have unlimited rights to use, including the rights to distribute and publish, to the Service. Unlimited rights permit the user to submit content to Semma in such a way that Semma can publish the said content, either partially or wholly, in the Service without any compensation or other obligations. To this end, the user has to obtain permission from the right holder, such as the photographer, before sending the content to the Service, when necessary. It is the users' responsibility to ensure that they have the right to use the submitted content. Therefore, users agree not to make claims against Semma regarding the material they send or publish in the Service. In addition, the user shall be liable for all damages resulting from the content submitted by the user.

Semma does not guarantee to publish any content submitted by users in the Service. Semma does not check or assume responsibility for the content submitted by users. Semma may, at its discretion, remove any content submitted by users to the Service or used by users in the Service from the Service without notification. Semma may also revise the content submitted by users to correct typos, for example.

Content, comments and statements submitted by users are their personal opinions, and Semma is not responsible for their accuracy or reliability. Users should note that other users may be able to access, use, comment and share all user content created in the Service or submitted to the Service.

5. Processing of Personal Data

Semma processes the personal data of Service uses as described in Semma’s privacy statement.

6. Cookies

The service uses cookies. You can read more about the use of cookies on Semma’s cookie policy.

7. Changes to the Service and Terms

At its discretion, Semma may change these terms, the Service or its content without prior notice or liability. Semma may, for example, change the prices or products, add or remove parts of the Service or change free services to paid ones or vice versa. The amended terms enter into force after the users have been notified of the changes. As from that date, they shall apply to the users' operation in the Service.

Semma reserves the right to limit the use of the Service or parts thereof and to discontinue the provision of the Service or any part thereof temporarily or permanently.

8. Links

The users may link contents of the Service, provided that they comply with copyright laws and Semma’s terms of use. Additionally:

  • Links cannot contain Semma’s trademarks as figurative marks
  • Links cannot damage Semma’s reputation or suggest the existence of a connection between Semma and the operations, services or products of the entity linked to.

The service may contain links or other connections to websites owned or maintained by third parties. These websites are not a part of the Service, and Semma does not have any control over them and is not responsible for their content. Therefore, Semma is not responsible for the content, correctness, reliability or data security of such websites. Links contained in the Service do not imply that Semma is affiliated with the linked website or endorses or promotes any products, operations or services referred to on the linked websites.

Third party services offered in the Service and linked websites are governed by their own terms of use and other conditions, and the users must read these terms and conditions before use.

9. Intellectual Property Rights

The Service and its contents (e.g. text, images, product descriptions, symbols, trademarks and software) are the property of Semma, Semma’s partners or other third parties protected by international copyright laws and other intellectual property rights.

All intellectual property rights for the Service and its contents (such as copyrights, company names, registered and unregistered trademarks and design rights, patents, domain names, database rights and trade secrets) and the goodwill generated thereby belong to Semma or third parties that own the rights in question. All other rights are reserved, unless otherwise stated in these terms of use.

Users do not have any direct or indirect rights to Semma’s intellectual property rights without a written consent of Semma.

10. Limitations of Liability

The Service and its content are provided on an “as is” basis without warranties of any kind. Semma aims to provide the Service without disruptions or malfunctions. Semma does not make any guarantees that the information provided in the Service is fit for a general or specific purpose. Semma also does not make any guarantees that the Service does not infringe the rights of third parties. In case of an infringement, the user or the infringed party shall contact the service provider as soon as possible.

Semma does not guarantee that the Service or the contained information is correct, up-to-date or reliable. The Service or its contents may contain inaccuracies, omissions, errors or other defects, such as viruses. Semma is not responsible for information submitted or received by users or information that the user does not submit or receive. Semma intends to maintain the data security of the Service and the transmitted information but it is not responsible for data security as it cannot be ensured.

Semma is not responsible for direct, indirect, incidental or consequential loss or damage or damage based on liability. The foregoing can include, for example, loss or damage resulting from use or inability to use the Service of its contents or loss of business, contract, data or revenue or disruption of business. This is true regardless of whether the damages were caused through contract, infringement of rights, negligence or other grounds, even if Semma has been informed of the possibility of such damage beforehand. In all cases, Semma responsibility is limited as mandated by law.

11. Force Majeure

Semma shall not be held liable for breaches of contract due to circumstances beyond its control (Force Majeure).

13. Applicable Law and Disputes

These contract terms are governed by Finnish law, excluding its choice of law rules.

Any conflicts will be primarily resolved through negotiation. If resolution by negotiation is unsuccessful, any conflicts shall be resolved by the District Court of Keski-Suomi.

If the user is a consumer, they may report the dispute to a consumer dispute body in the country of residence, in accordance with local regulations and practices. In case the dispute is related to online sales of goods or services, the European Commission provides an Online Dispute Resolution Platform that is aimed primarily for consumers who live in another EU country than the domicile of the service provider. Consumers also have the right to bring a case before the district court which has jurisdiction over their place of residence.
